Diese Allgemeinen Geschäftsbedingungen gelten für alle Beratungs- und Dienstleistungsverträge zwischen Andre Bubner, Bubner Consulting, Autónomo (nachfolgend „Auftragnehmer“), und seinen Auftraggebern.
These Terms & Conditions apply to all consulting and service agreements between Andre Bubner, Bubner Consulting, autónomo (hereinafter the “Contractor”), and its clients.
Los presentes Términos y Condiciones se aplican a todos los contratos de consultoría y prestación de servicios entre Andre Bubner, Bubner Consulting, autónomo (en adelante el «Prestador»), y sus clientes.

2. Ofertas y Formalización del Contrato
Angebote des Auftragnehmers sind freibleibend. Ein Vertrag kommt durch schriftliche Bestätigung (auch per E-Mail) oder durch Unterzeichnung eines Einzelvertrags bzw. Statement of Work zustande.
Offers made by the Contractor are non-binding. A contract is formed upon written confirmation (including by email) or upon signature of an individual agreement or Statement of Work.
Las ofertas del Prestador no son vinculantes. El contrato se perfecciona mediante confirmación por escrito (incluido el correo electrónico) o mediante la firma de un contrato individual o Statement of Work.

3. Alcance de los Servicios
Art, Umfang und Dauer der Leistungen ergeben sich aus dem jeweiligen Einzelvertrag bzw. Angebot. Änderungen des Leistungsumfangs bedürfen der Textform.
The nature, scope, and duration of the services result from the respective individual agreement or proposal. Changes to the scope of services require text form.
La naturaleza, el alcance y la duración de los servicios se derivan del contrato individual u oferta correspondiente. Las modificaciones del alcance requieren forma escrita.
4. Vergütung und Zahlungsbedingungen

4. Honorarios y Condiciones de Pago
Die Vergütung richtet sich nach dem jeweiligen Angebot (Tagessatz oder Pauschale). Rechnungen sind, sofern nicht anders vereinbart, innerhalb von 14 Tagen ohne Abzug zur Zahlung fällig. Reisekosten und Auslagen werden gesondert in Rechnung gestellt, sofern vereinbart.
Fees are based on the respective proposal (daily rate or fixed fee). Unless otherwise agreed, invoices are due for payment within 14 days without deduction. Travel expenses and outlays are invoiced separately if agreed.
Los honorarios se rigen por la oferta correspondiente (tarifa diaria o precio cerrado). Salvo pacto en contrario, las facturas vencen a los 14 días sin descuento. Los gastos de viaje y desembolsos se facturan por separado si así se acuerda.
5. Mitwirkungspflichten des Auftraggebers

Der Auftraggeber stellt dem Auftragnehmer die für die Leistungserbringung erforderlichen Informationen, Zugänge und Ansprechpartner rechtzeitig zur Verfügung.
The client shall provide the Contractor with the information, access, and points of contact required for the performance of the services in a timely manner.
El cliente proporcionará al Prestador, en tiempo oportuno, la información, los accesos y los interlocutores necesarios para la prestación de los servicios.

Beide Parteien verpflichten sich, alle im Rahmen der Zusammenarbeit erlangten vertraulichen Informationen der jeweils anderen Partei geheim zu halten und nur für Zwecke der Vertragserfüllung zu verwenden.
Both parties undertake to keep confidential all confidential information obtained from the other party in the course of the cooperation and to use it only for the purpose of fulfilling the contract.
Ambas partes se comprometen a mantener la confidencialidad de toda la información confidencial obtenida de la otra parte en el marco de la colaboración y a utilizarla únicamente para el cumplimiento del contrato.
7. Haftung

7. Responsabilidad
Der Auftragnehmer haftet unbeschränkt für Vorsatz und grobe Fahrlässigkeit sowie nach den zwingenden Vorschriften des spanischen Rechts. Für leichte Fahrlässigkeit haftet der Auftragnehmer nur bei Verletzung wesentlicher Vertragspflichten, begrenzt auf den vertragstypisch vorhersehbaren Schaden.
The Contractor is liable without limitation for intent and gross negligence, as well as under the mandatory provisions of Spanish law. For ordinary negligence, the Contractor is only liable for breaches of material contractual obligations, limited to the foreseeable, typical damage.
El Prestador responde sin limitación en casos de dolo y negligencia grave, así como conforme a las disposiciones imperativas del derecho español. Por negligencia leve, el Prestador solo responde por el incumplimiento de obligaciones contractuales esenciales, limitado al daño previsible y típico del contrato.
8. Laufzeit und Kündigung

8. Duración y Resolución
Laufzeit und Kündigungsfristen ergeben sich aus dem jeweiligen Einzelvertrag. Das Recht zur außerordentlichen Kündigung aus wichtigem Grund bleibt unberührt.
Term and notice periods result from the respective individual agreement. The right to extraordinary termination for good cause remains unaffected.
La duración y los plazos de preaviso se derivan del contrato individual correspondiente. Queda a salvo el derecho a la resolución extraordinaria por causa justificada.
9. Anwendbares Recht und Gerichtsstand
9. Governing Law and Jurisdiction
9. Legislación Aplicable y Jurisdicción
Es gilt spanisches Recht unter Ausschluss des UN-Kaufrechts. Gerichtsstand ist, soweit gesetzlich zulässig, Manacor / Palma de Mallorca, Spanien.
Spanish law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is, to the extent legally permissible, Manacor / Palma de Mallorca, Spain.
Se aplica la legislación española, con exclusión de la Convención de las Naciones Unidas sobre los Contratos de Compraventa Internacional de Mercaderías. El fuero, en la medida legalmente permitida, es Manacor / Palma de Mallorca, España.

Sollten einzelne Bestimmungen dieser AGB unwirksam sein, bleibt die Wirksamkeit der übrigen Bestimmungen unberührt.
Should individual provisions of these Terms be invalid, the validity of the remaining provisions shall remain unaffected.
Si alguna disposición de estos Términos resultara inválida, la validez de las restantes disposiciones no se verá afectada.
